Terms of Service

These Terms of Service (the “Terms”) are a legal agreement between you and TXLodgingLens.com (“TX LodgingLens,” “we,” “us,” or “our”) governing your access to and use of TX LodgingLens and its research tools (the “Service”). By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility and Acceptance

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that entity to these Terms.

2. The Service

TX LodgingLens provides research and analytical tools relating to Texas lodging properties and markets. The Service organizes and presents publicly available hotel occupancy tax information and may provide search, market summaries, property reports, comparisons, rankings, calculated metrics, saved research, and other analytical features. We may add, change, suspend, or remove features and may update underlying data as new records become available.

3. Accounts and Access

A registered account is required to access TX LodgingLens research tools. You agree to provide accurate account information, keep your credentials confidential, and promptly notify us if you suspect unauthorized access. Accounts are for a single user. You may not share, sell, transfer, or otherwise provide your account or login credentials to another person. You are responsible for activity occurring through your account.

4. Acceptable Use

You may not scrape, crawl, spider, harvest, bulk-download, or use automated means to access, copy, or extract data from the Service except through features we expressly provide. You may not resell, sublicense, redistribute, republish, or commercially exploit a substantial portion of the Service or its compiled data; use the Service or its data to build, train, populate, or materially support a competing product, service, or dataset; reverse engineer the Service; circumvent access controls, rate limits, or security measures; interfere with the Service or other users; or use the Service for unlawful purposes.

5. Data Sources and Independence

TX LodgingLens uses publicly available hotel occupancy tax information obtained from the Texas Comptroller of Public Accounts. TX LodgingLens is an independent service and is not affiliated with, endorsed by, sponsored by, or an official service of the Texas Comptroller of Public Accounts or the State of Texas. The underlying public records remain public-source information and are not claimed by TX LodgingLens as its property.

6. Data Accuracy, Interpretation, and Calculations

The Service is our organization and interpretation of public-source data, not the official record. We may collect, normalize, match, group, aggregate, and calculate information from underlying records. RevPAR, year-over-year changes, market averages, rankings, comparisons, market share, property matches, and similar measures may be calculated by TX LodgingLens and are not official statistics published by the Texas Comptroller.

Public-source records and our processing may contain errors, filing delays, amendments, missing periods, naming differences, ownership changes, duplicate or unmatched records, incorrect property associations, or other inaccuracies. Records may be merged, separated, matched, or calculated in ways that do not reflect an underlying filing. We do not warrant the accuracy, completeness, timeliness, or reliability of any information. Users should independently verify material information against authoritative sources before relying on it.

7. Research Use Only; No Professional Advice

The Service is provided for general informational and research purposes only. It does not constitute investment, legal, tax, accounting, lending, appraisal, valuation, financial, real-estate, or other professional advice. You are solely responsible for independently verifying information and for decisions made using the Service. Consult qualified professionals when appropriate.

8. Intellectual Property and Limited License

The Service, including its software, design, branding, text, graphics, user interface, organization, selection, arrangement, normalization, matching methods, calculated analytics, and compilation of information, is owned by TX LodgingLens or its licensors and may be protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your own internal business or personal research purposes. No ownership rights in the Service are transferred to you.

9. Third-Party Services and Links

The Service relies on third-party infrastructure and services, including providers used for hosting, databases, authentication, security, analytics, communications, and related functionality. Those services may be governed by their own terms and privacy practices. We are not responsible for third-party websites, services, content, products, availability, or practices, and a link or integration does not imply endorsement.

10. Privacy and Electronic Communications

Your use of the Service is also governed by our Privacy Policy. By creating an account or contacting us electronically, you consent to receive account, security, service, legal, and other transactional communications electronically. Where required, non-essential marketing communications will provide an appropriate opt-out method.

11. Suspension and Termination

You may stop using the Service at any time. We may suspend, restrict, or terminate access if we reasonably believe you violated these Terms, shared account access, scraped or misused data, created a security or operational risk, used the Service unlawfully, or otherwise abused the Service. Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination, including intellectual-property provisions, disclaimers, liability limitations, and indemnification, will survive.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL INFORMATION, DATA, ANALYTICS, AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT DATA OR CALCULATIONS WILL BE ACCURATE, COMPLETE, OR CURRENT. SOME JURISDICTIONS MAY NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TX LODGINGLENS LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICE OR YOUR USE OF OR RELIANCE ON ITS INFORMATION. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions may not allow certain limitations, so some limitations may not apply to you.

14. Indemnification

To the extent permitted by law, you agree to indemnify, defend, and hold harmless TXLodgingLens.com and its owners, officers, employees, agents, contractors, and service providers from claims, liabilities, losses, damages, and reasonable costs arising from your misuse of the Service, violation of these Terms, violation of applicable law, or infringement of another party’s rights.

15. Governing Law and General Terms

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Subject to applicable law, disputes not otherwise resolved between the parties will be brought in an appropriate state or federal court in Texas. These Terms and the Privacy Policy constitute the agreement between you and us regarding the Service. If a provision is unenforceable, it will be modified only to the extent necessary and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, merger, acquisition, financing, or sale of assets.

16. Changes to These Terms

We may update these Terms from time to time. We will update the “Last updated” date and may provide additional notice of material changes through the Service or by email. Your continued use of the Service after revised Terms take effect constitutes acceptance of the revised Terms.
